The terms on which we supply our website, software products, white-label platforms and professional services.
These terms and conditions (the "terms") set out the basis on which IRemitify Ltd supplies its website (the "site"), software products, white-label platforms and professional services. In these terms, "products" means our software platforms and modules — including the Remittance Management System, AML & Compliance, Cards, eSIMs, Bank Accounts and Top Up — and "services" means the professional services we supply, including design, development, integration, deployment, digital marketing, compliance advisory, support and maintenance. Please read them carefully before engaging us.
IRemitify is a company registered in England with its registered office at London, United Kingdom.
You can reach us at info@iremitify.com or on +44 161 8706883.
The following terms carry the meanings set out below wherever they appear in this document:
IRemitify is a technology provider, not a financial institution. We supply software, infrastructure and professional services. We do not hold client money, do not execute payment transactions on our own account, and do not act as a money services business, payment institution, electronic money institution or bank in respect of your customers.
Where our products are described using terms such as "Banking as a Service", "Remittance as a Service", "bank accounts", "cards", "settlement" or "payouts", these describe technical capabilities and integrations with regulated third-party providers. The underlying regulated activity is performed by those licensed providers or by you, not by IRemitify.
You are solely responsible for obtaining and maintaining every authorisation, registration, licence and permission required for your business in every jurisdiction in which you operate — including but not limited to FCA authorisation or registration, HMRC registration as a money services business, local central bank licensing, and any equivalent overseas requirement.
Our products include compliance tooling such as KYC orchestration, sanctions screening, transaction monitoring, audit logging and reporting. These are tools that support your compliance programme. They do not constitute regulatory, legal or tax advice, and they do not transfer any compliance obligation from you to us. You remain the responsible party for your AML and counter-terrorist-financing programme, risk assessments, customer due diligence decisions, suspicious activity reporting and regulatory filings.
Any compliance advisory service we provide is delivered on a best-practice, consultancy basis. It is not legal advice and is not a substitute for advice from a qualified lawyer or a licensed compliance officer in the relevant jurisdiction.
By accessing this site, requesting a demo, or engaging us for any product or service, you agree to be legally bound by these terms together with our Privacy Policy.
We may amend these terms at any time by publishing an updated version on this page with a revised "last updated" date. Changes take effect when published, except that material changes affecting an active engagement will not apply retrospectively to work already contracted. For active engagements, we will give you at least 30 days' written notice of any change that materially reduces the products or services you receive.
It is your responsibility to review this page periodically. Continued use of the site, products or services after changes are published constitutes acceptance.
This site is provided for general information about our products and services. Content — including statistics, uptime figures, settlement times, corridor counts, integration counts and client numbers — is indicative and provided for illustration. It does not form part of any contract unless expressly restated in an engagement document.
You must not:
We may suspend or withdraw access to the site at any time without notice, and we do not guarantee that the site or its content will always be available or error-free. The site may contain links to third-party websites, including client sites. We do not control and are not responsible for the content, availability, security or practices of those sites.
Booking a demo or a free consultation creates no contractual obligation on either party and does not entitle you to any product, service or licence.
Any proposal, quotation, estimate or pricing indication we issue is an invitation to treat, not a binding offer, and remains valid for 30 days from its date unless stated otherwise. A binding contract is formed only when both parties sign an engagement document, or when we confirm your order in writing and you pay the first invoice, whichever occurs first.
Timelines, delivery dates, sprint cadences and go-live dates set out in proposals are good-faith estimates. They are conditional on your timely cooperation and on third-party dependencies outside our control.
These terms apply to every engagement and are supplemented by the applicable engagement document. If there is a conflict, the following order of precedence applies:
No terms proposed by you — including terms on a purchase order or in supplier onboarding documentation — apply unless we expressly accept them in writing.
You agree to:
Fees are set out in the engagement document and may comprise one-off implementation fees, recurring licence or subscription fees, per-transaction fees, support retainers, or time-and-materials charges. Unless stated otherwise, all fees are exclusive of VAT and any other applicable taxes, duties, levies or withholdings, which you will pay in addition.
Invoices are payable within 14 days of the invoice date, in the currency stated, without set-off, deduction or counterclaim. You are responsible for all bank charges and currency conversion costs. We may charge interest on overdue amounts at 4% per annum above the Bank of England base rate, accruing daily, together with our reasonable costs of recovery, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
If any invoice remains unpaid for more than 30 days, we may, on written notice, suspend the products, services, support and hosted environments until payment is received in full. Suspension does not relieve you of your payment obligations.
Recurring fees may be increased once in any twelve-month period on 60 days' written notice. Work outside the agreed scope will be quoted separately and will not commence until approved in writing via a change order.
Your background IP. You retain all rights in your brand, content, data and pre-existing materials you supply. You grant us a non-exclusive, royalty-free licence to use those materials solely to perform the services for the duration of the engagement.
Our background IP. We retain all rights in our pre-existing and independently developed intellectual property — including our platform architecture, core codebase, frameworks, libraries, modules, tooling, methodologies, templates and know-how ("IRemitify IP"). Nothing in these terms transfers ownership of IRemitify IP to you.
Deliverables. Subject to full payment of all sums due, we assign to you the intellectual property rights in the bespoke deliverables created specifically for you under the engagement document.
Licence to IRemitify IP. Where a deliverable incorporates IRemitify IP, we grant you a perpetual, non-exclusive, non-transferable, worldwide licence to use that IRemitify IP solely as embedded in and as necessary to operate the deliverable. This licence does not permit you to extract, resell, sublicense or distribute the IRemitify IP as a standalone product, or to build a competing platform from it.
Hosted and subscription products. Where you take a product on a hosted or subscription basis, no ownership transfers. You receive a non-exclusive, non-transferable, revocable licence to access and use the product for your internal business purposes for the subscription term.
Third-party components. Deliverables may include open-source or third-party licensed components. These remain subject to their own licence terms, which we will identify on request, and are excluded from any assignment of deliverables.
We may use general skills, techniques and know-how acquired during an engagement in our other work, provided we disclose no confidential information of yours. You must not remove, obscure or alter any proprietary notice in the products or deliverables.
Our products integrate with third-party services including banks, payment gateways, card issuers, KYC and screening vendors, mobile network operators, core banking systems and analytics providers. Those services are governed by the third party's own terms and are supplied on their terms and at their pricing. We act as an integrator only.
We are not liable for any act, omission, outage, rate change, pricing change, API change, deprecation, account closure, settlement delay, rejected transaction or termination by a third-party provider, nor for any consequence of a third party declining to onboard you.
If a third party materially changes or discontinues its service, we will use reasonable efforts to advise you and to propose an alternative. Any resulting integration work is chargeable. Introductions we make to banking or payment partners are facilitations only; onboarding, approval and ongoing acceptance are entirely at the third party's discretion.
Each party will keep the other's confidential information secret, use it only for the purposes of the engagement, and disclose it only to personnel and professional advisers who need to know it and who are bound by equivalent obligations.
"Confidential information" means non-public information disclosed in connection with an engagement, whether or not marked confidential, including commercial terms, technical designs, source code, business plans and customer data.
This obligation does not apply to information that is or becomes public through no breach, was lawfully known before disclosure, is independently developed, or must be disclosed by law, court order or regulator — in which case the disclosing party will, where lawful, give prior notice. These obligations survive for five years after the engagement ends, and indefinitely in respect of personal data, source code and security information.
Each party will comply with the UK GDPR, the Data Protection Act 2018, the EU GDPR where applicable, and all other applicable data protection law.
In relation to end-user personal data processed through the products, you are the controller and we act as processor. We will process such data only on your documented instructions, except where required by law. The parties will enter into a data processing agreement setting out the subject matter, duration, nature and purpose of processing, the categories of data and data subjects, and the parties' respective obligations. That agreement forms part of the contract.
We will implement appropriate technical and organisational measures, including encryption in transit and at rest, role-based access control, audit logging and personnel confidentiality obligations. We will assist you, at your cost where the assistance is material, with data subject requests, data protection impact assessments and regulator engagement.
We may engage sub-processors, including hosting, screening and communication providers. A current list is available on request, and we will give reasonable notice of intended changes so you may object on reasonable grounds. Where personal data is transferred outside the UK or EEA, we will ensure an appropriate transfer mechanism is in place.
We will notify you without undue delay after becoming aware of a personal data breach affecting your data, and will cooperate in your investigation and notification obligations. Our handling of website visitor and enquiry data is described in our Privacy Policy.
We maintain a security programme covering encryption, access control, audit trails, vulnerability management and monitoring, aligned to recognised industry standards.
Where an engagement document specifies a service level agreement, availability targets, support hours and response times are as set out in that agreement. Availability figures published on this site are targets, not contractual commitments, unless restated in a service level agreement.
Availability targets exclude scheduled maintenance, emergency maintenance, third-party provider outages, force majeure events, and issues arising from your infrastructure, configuration, network or misuse.
Support covered by a maintenance retainer includes defect correction and reasonable operational assistance. It does not include new features, scope changes, re-training arising from your personnel turnover, or work caused by unauthorised modification of the products by you or a third party. We may make routine updates to hosted products, and will use reasonable efforts to avoid disruption and to give advance notice of changes that materially affect functionality.
We warrant that we will perform the services with reasonable care and skill, using appropriately qualified personnel, and in accordance with the engagement document.
We warrant that the deliverables will materially conform to the agreed specification for 90 days after acceptance. Your exclusive remedy for breach of this warranty is that we will, at our option, correct the non-conformity or refund the fees paid for the affected deliverable.
This warranty does not apply where the non-conformity arises from your specification or data, modification by you or a third party, use outside the documented purpose, failure to apply an update we supplied, or a third-party service or infrastructure failure.
You warrant that you hold all necessary regulatory permissions, that all materials you supply do not infringe any third party's rights, and that your use of the products complies with applicable law.
Except as expressly stated in these terms or an engagement document, the site, products and services are provided "as is" and "as available", and all warranties, conditions and terms implied by statute, common law or otherwise are excluded to the fullest extent permitted by law.
We do not warrant that the products will be uninterrupted, error-free, or free of all vulnerabilities, or that every defect will be corrected. We do not warrant any commercial outcome — including transaction volume, conversion rate, revenue, cost saving, marketing performance, regulatory approval, or acceptance by any bank or payment partner.
Nothing on this site, in our materials, or in our communications constitutes legal, regulatory, tax, accounting or financial advice. You should obtain independent professional advice before relying on anything we provide.
Nothing in these terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited.
Subject to the paragraph above, neither party is liable to the other for any loss of profit, loss of revenue, loss of anticipated savings, loss of business or business opportunity, loss of goodwill or reputation, loss, corruption or recovery of data, regulatory fine or penalty, or any indirect, special or consequential loss, however arising, whether in contract, tort (including negligence), breach of statutory duty or otherwise.
Subject to the two paragraphs above, our total aggregate liability arising out of or in connection with an engagement will not exceed the total fees paid by you to us under the relevant engagement document in the twelve months immediately preceding the event giving rise to the claim.
We are not liable for any loss arising from your regulatory non-compliance, a compliance decision you make using output from our tooling, the acts, omissions or failures of any third-party provider, unauthorised access resulting from your failure to safeguard credentials, or your use of the products outside the documented scope.
Each claim must be notified to us in writing within twelve months of the date on which you became aware, or ought reasonably to have become aware, of the circumstances giving rise to it. You acknowledge that these limitations are reasonable given the nature of the products and services and are reflected in our pricing.
You will indemnify us against all losses, damages, liabilities, fines, costs and reasonable legal expenses arising from:
We will indemnify you against third-party claims that a deliverable, as supplied by us and used in accordance with the engagement document, infringes that third party's intellectual property rights — excluding claims arising from your materials, your specification, third-party components, or modifications not made by us. This indemnity is subject to the limits set out under limitation of liability.
These terms apply from your first use of the site and continue while any engagement remains in force. Either party may terminate an engagement for convenience on 60 days' written notice, unless a minimum term is stated in the engagement document.
Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within 30 days of notice, or becomes insolvent, enters administration or liquidation, or ceases to carry on business.
We may suspend or terminate immediately, without liability, if we reasonably believe that your use of the products is unlawful, breaches sanctions, facilitates financial crime, or exposes us or our providers to regulatory, security or reputational risk.
On termination, all outstanding fees become immediately due, licences granted for hosted products cease, and each party will return or destroy the other's confidential information on request, subject to legal retention requirements. On termination other than for your material breach, we will, for 30 days, provide reasonable assistance to export your data in a commonly used format. Extended migration assistance is chargeable at our standard rates.
Provisions that by their nature should survive termination — including those covering intellectual property, confidentiality, data protection, disclaimers, limitation of liability, indemnity and general terms — continue to apply after termination.
Fees for work performed, licences issued, third-party costs incurred and time expended are non-refundable. Implementation, onboarding and set-up fees are non-refundable once work has commenced.
If you cancel an engagement before completion, you remain liable for all work performed and all committed third-party costs up to the effective date of cancellation. Subscription fees are non-refundable for the remainder of the then-current billing period.
Our products and services are supplied on a business-to-business basis. Statutory consumer cancellation rights, including the fourteen-day right to cancel, do not apply.
Neither party is liable for any failure or delay caused by an event beyond its reasonable control, including acts of God, war, terrorism, civil unrest, epidemic, government action, sanctions, changes in law, strikes, power or telecommunications failure, internet or cloud provider outage, cyber attack, or failure of a third-party payment or banking provider. If such an event continues for more than 60 days, either party may terminate the affected engagement on written notice.
Unless you tell us otherwise in writing, we may identify you as a client and display your name and logo on our site and in marketing materials. Any case study, testimonial or detailed description of your solution will be published only with your prior written approval.
You may withdraw this permission at any time by writing to us, and we will remove the material within a reasonable period.
During an engagement and for twelve months afterwards, neither party will directly solicit for employment any employee or contractor of the other who was materially involved in the engagement, except through a general public advertisement not targeted at that individual.
Assignment. You may not assign or transfer your rights without our prior written consent. We may assign to an affiliate or in connection with a merger, reorganisation or sale of substantially all our assets.
Subcontracting. We may subcontract any part of the services and remain responsible for our subcontractors' performance.
Entire agreement. These terms, together with the engagement document, Privacy Policy and any data processing agreement, constitute the entire agreement and supersede all prior discussions, proposals and representations. Neither party relies on any statement not expressly set out in these documents, save for fraudulent misrepresentation.
Variation and waiver. Any variation to an engagement document must be in writing and signed by both parties. Failure or delay in enforcing any right is not a waiver of it.
Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
No partnership or agency. Nothing in these terms creates a partnership, joint venture, agency or employment relationship between the parties.
Third-party rights. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision.
Notices. Formal notices must be given in writing to info@iremitify.com for us, or to the address in the engagement document for you, and are deemed received on the next business day if sent by email, or two business days after posting.
Language. These terms are drafted in English, which is the governing language of the contract.
These terms and any dispute or claim arising out of them, including non-contractual disputes, are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
Before commencing proceedings, the parties will attempt in good faith to resolve any dispute through senior-level discussion for a period of 30 days.
Questions about these terms, or a complaint about our products or services, can be sent to info@iremitify.com, by phone on +44 161 8706883, or by post to IRemitify, London, United Kingdom.
We acknowledge complaints within two business days and aim to provide a substantive response within ten business days.
If you are an end user of a money-transfer service operated by one of our clients, please refer to that operator's own terms this document does not govern that relationship.
If any of these terms are unclear, please ask us before signing — we would rather explain it now than later.
